CCP finalizes ownership of Heavy Electrical Complex's shareholding

The Competition Commission of Pakistan (CCP) has given its approval for the acquisition of shares in Heavy Electrical Complex (Pvt) Ltd by DW Pakistan (Pvt) Ltd. The transaction, which was executed under a share purchase agreement, was classified as a conglomerate merger by the CCP.

Heavy Electrical Complex, a company that manufactures and repairs power transformers, is a key player in Pakistan's power transformer industry. The acquisition by DW Pakistan, a company that is not currently active in the manufacturing, engineering, or energy markets, is seen as a strategic move by DW Pakistan to strengthen its position and capabilities within Pakistan's energy infrastructure and industrial manufacturing.

The CCP concluded that the deal would not eliminate any existing or potential competition, nor would it create or strengthen a dominant position in the market. The relevant product market for the transaction was identified as power transformers.

Interestingly, the World Bank is involved in a project under Pakistan Electric Power Company (Pesco). The project is related to the power transformer industry, given that Heavy Electrical Complex manufactures and repairs power transformers. It is worth noting that the CCP's conclusion regarding the transaction between DW Pakistan and Heavy Electrical Complex does not directly affect the potential relaxation of bidding criteria for the project under Pesco.

IMS Engineering, the previous shareholders of Heavy Electrical Complex, provided engineering, procurement, and construction services. The share acquisition was made from IMS Engineering (Pvt) Ltd.

DW Pakistan, known for its involvement in investments and acquisitions across various sectors, is now becoming active in the energy market sector with this acquisition. The relaxation in bidding criteria for the project under Pesco, if approved, could have implications for the competitive landscape in the power transformer market. However, the decision on the relaxation of bidding criteria lies with Heavy Electrical Complex.

The CCP's approval of the transaction marks a significant step in the strategic growth of DW Pakistan within Pakistan's energy sector. As DW Pakistan continues to expand its operations, the energy market is expected to witness further developments and competition.
